Purpose of the Act

Penalties for NonCompliance

Violations attract a range of sanctions, calibrated to the seriousness and impact of the breach:

  • Administrative Fines: Up to 10% of annual turnover or a fixed amount of $500,000, whichever is higher.
  • License Suspension/Revocation: Temporary suspension for minor infractions; permanent revocation for systemic or fraudulent conduct.
  • Criminal Prosecution: Offences such as market manipulation, insider trading, or embezzlement can lead to imprisonment of up to 10 years.
  • Compensation Orders: Courts may order restitution to damaged investors, often supplemented by the Compensation Fund.
